**Funds Wrap-Up**  
Our team will go through all outstanding investments to clear as many funds as possible over the next 30 days. Following that timeframe, we will cancel anything that has not been cleared and have you request your final disbursement. In accordance with SEC regulatory feedback, we must hold firm to this timeframe. Once this step is complete, our team will provide you with your final investor list and funds reconciliation.

**Form C-U Filing**  
To comply with SEC regulation, we will also be filing your required administrative Form C-U progress update.  Please see the Regulation requirements here. If you have any questions, please let us know at [services@startengine.com](mailto:services@startengine.com).

**Send a Thank You Update**  
Send an [update](https://issuer.startengine.com/updates) through StartEngine to announce the successful funding. This is an example:

_We are happy to announce that we have successfully raised $X,XXX,XXX.  We want to thank everyone who has invested. Please be patient because it can take up to two weeks to clear all of the investments. You will receive an email directly from StartEngine containing a copy of the fully executed Subscription Agreement. This is your proof you own shares in COMPANY NAME._

**Transfers?**  
Shares cannot be sold or traded for one year from the date of the offering close, outstanding circumstances excluded. 

**Annual Reporting Season**  
All offerings (live or closed) are required to file Form C-AR no later than 120 days after the end of the fiscal year. The main purpose of Form C-AR is to provide your most recently completed fiscal years financials and compare them to the previous financial results. 

As long as StartEngine remains your transfer agent, we will continue to facilitate the filing of your annual report.  Once the company has closed its offering, you will only be required to file annual reports with the SEC. You will not need to file any amendments to your Form C.  Details on how to complete this requirement will be share in late February and early March.
