When you sell shares to the general public, it is important to have a company that will keep track of who owns those shares. The Regulation Crowdfunding rule permits investors to sell their shares after one year from the time they purchased them (closing date). The transfer agent is the company that tracks who owns the shares and when an investor sells them, the transfer agent will record the new owner.
