What are the reporting requirements for TIII?

All companies looking to raise money under Title III must submit a Form C as well as financial documents, intended prices of shares, information about their officers and further descriptions about their business:

  • For companies seeking $100,000 or less, they need to provide information from their tax returns as well as any financial statements certified by their principal executive officer. 

  • For the companies looking to raise from $100,000.01-$500,000, they are required to provide financial statements that have been reviewed by an independent CPA.

  • For a company looking to raise more than $500,000 up to the $1,000,000 maximum, they are required to provide financial statements that have been audited by a CPA.
